Without limiting the foregoing, and except as may be expressly permitted by FanFlash or as may be a result of standard search engine or internet browser usage, you will not use any robot, spider, rover, scraper, or any other data mining technology or automatic or manual process to monitor, cache, frame, mask, extract data from, copy or distribute the Materials. You agree that your User Content will be treated as non-confidential and non-proprietary and will not be returned.
Membership & Registration

The decision to provide this information is purely optional; however, if you elect not to provide such information, you may not be able to access certain Materials or User Content or participate in certain features of the Web Sites. You represent and warrant that: (i) you are not a minor and you have the legal right and capacity to enter into these Terms in your jurisdiction and to comply with these Terms or, if you are a minor, your parent or legal guardian has read and agreed to these Terms on your behalf; (ii) all information you provide to FanFlash is accurate and complete; and (iii) you hold and will continue to hold all rights necessary to enter into and perform your obligations under these Terms.
User Interactions and Disputes
You are solely responsible for your interaction with other users of the Web Site, whether online or offline. We are not responsible or liable for the conduct of any user. We reserve the right, but have no obligation, to monitor or become involved in disputes between you and other users.
Software and Other Items Available for Download
Any items that we make available for download or use from the Web Sites and/or our servers (the "Downloadable Items") are the copyrighted work of FanFlash or its partners, affiliates, licensors or suppliers. Your use of the Downloadable Items may be governed by the terms of an end user license agreement that accompanies or is included with the Downloadable Items (the "License Agreement"). You recognize and confirm that in the event you incur any damages, losses or injuries that arise out of the FanFlash Parties’ acts or omissions, the damages, if any, caused to you are not irreparable or sufficient to entitle you to an injunction preventing any exploitation of any web site, property, product, program, or other audio/visual content owned or controlled by company and/or its parents, subsidiaries, and/or affiliates, and you will have no rights to enjoin or restrain the development, production, distribution, advertising, exhibition or exploitation of any company web site, property, product, program, or other audio/visual content or your User Content or any and all activities or actions related thereto.
Indemnification
You agree to defend, indemnify and hold the FanFlash Parties harmless from and against any and all claims, damages, costs, investigations, liabilities, judgments, settlements and expenses, including attorneys’ fees, that directly or indirectly arise from or are otherwise directly or indirectly related to: (a) User Content; (b) your use of the Web Sites or activities in connection with the Web Sites; (c) your breach of these Terms; (d) your violation of any laws, rules, regulations, codes, statutes, ordinances or orders of any governmental and quasi-governmental authorities, including, without limitation, all regulatory, administrative and legislative authorities; (e) information or material transmitted through your computer, even if not submitted by you, that infringes, violates or misappropriates any copyright, trademark, trade secret, trade dress, patent, publicity, privacy or other right of any person or defames any person; (f) any misrepresentation made by you; or (g) the FanFlash Parties' use of your information. You will cooperate as fully required by the FanFlash Parties in the defense of any claim. The FanFlash Parties reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you will not in any event settle any claim without the prior written consent of a duly authorized employee of the FanFlash Parties.
Term and Termination
FanFlash reserves the right to terminate your access to and use of the Web Sites in its sole discretion, without notice and liability, including, without limitation.
Upon termination of your access to the Web Sites, or upon demand from Fan Flash, all rights granted to you under these Terms will cease immediately, and you agree that you will: (a) immediately discontinue use of the Web Sites; (b) destroy all materials obtained from the Web Sites and all related documentation; and (c) as applicable, pay any amounts owed to FanFlash in full within thirty (30) days from the date of such termination and continue to pay any other amounts owed under these Terms.
Promotions
The Web Sites may contain or offer sweepstakes or other promotions, which may be governed by a separate set of rules that describe the sweepstakes or promotion and may have eligibility requirements, such as certain age or geographic area restrictions. It is your responsibility to read those rules to determine whether or not your participation, registration or entry will be valid and to determine the sponsor's requirements of you in connection with the applicable sweepstakes or promotion. For any third party sweepstakes or promotion accessed through the sites, FanFlash will act only as a conduit and specifically disclaims any liability for such sweepstakes or promotion. By accessing any particular sweepstakes or promotion through the FanFlash Sites you agree to look solely to those third party providers for any claims and agree to hold FanFlash LLC and the FanFlash sites harmless from any liability or claims based on those sweepstakes or promotions.

We do not control those third party sites or any of the content contained therein and you expressly acknowledge and agree that we are in no way responsible or liable for any of those third party sites, including, without limitation, their content, policies, failures, promotions, products, services, actions and/or any damages, losses, failures or problems caused by, related to or arising from those sites. FanFlash encourages you to review all policies, rules, terms and regulations, including the privacy policies, of each third party site that you visit.

Any third party web sites that link to the Web Sites: (a) may only link to the Web Sites’ home page unless it has received prior, written consent from FanFlash to link to other pages; (b) must not frame or create a browser or border environment around any of the content on the Web Sites or otherwise mirror any part of the Web Sites; (c) must not imply that FanFlash or the Site is endorsing or sponsoring it or its products, unless FanFlash has given it prior written consent; (d) must not present false information about FanFlash or its products or services; (e) must not use any FanFlash trademarks without the prior written permission from Producer; and (f) must not contain content that could be construed as distasteful, offensive or controversial. By linking to the Web Sites, you agree that you do and will continue to comply with the above linking requirements. Notwithstanding anything to the contrary contained in these Terms, FanFlash reserves the right to prohibit linking to the Web Sites for any reason in our sole and absolute discretion.
Location of Web Sites
FanFlash controls and operates the Web Sites from offices located in the State of Massachusetts in the United States of America and makes no representations or warranties that the information, products or services contained on the Web Sites are appropriate for use or access in other locations. Anyone using or accessing the Web Sites from other locations does so on their own initiative and are responsible for compliance with local United States laws, if and to the extent applicable. We reserve the right to limit the availability of the Web Sites and/or the provision of any content, program, product, service or other feature described or available thereon to any person, geographic area, or jurisdiction, at any time and in our sole discretion, and to limit the quantities of any such content, program, product, service or other feature that we provide.
Disputes/Governing Law
Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of or connected with the Web Sites or activities available on the Web Sites will be resolved individually, without resort to any form of class action. You waive any rights to trial by jury in any action or proceeding instituted in connection with these Terms, the Web Sites or activities available on the Web Sites. Any controversy or claim of any nature arising out of or relating to these Terms the Web Sites or activities available on the Web Sites will be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim will be arbitrated on an individual basis, and will not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration will be conducted in the State of Massachusetts, City of Boston. All issues and questions regarding your rights and obligations will be governed by, and construed in accordance with, the laws of the State of Massachusetts, without giving effect to the conflict of laws rules thereof. Any matters or proceedings for entering any judgment on an arbitration award will take place in the courts situated in the State of Massachusetts, City of Boston.
Miscellaneous
The failure of FanFlash to act with respect to a breach of these Terms by you or others does not constitute a waiver and will not limit Fan Flash’s rights with respect to such breach or any subsequent breaches. No waiver by FanFlash of any of these Terms will be of any force or effect unless made in writing and signed by a duly authorized office of Fan Flash’s. Neither the course of conduct between the parties nor trade practice will act to modify these Terms. FanFlash may assign its rights and duties under these Terms to any party at any time without any notice to you. These Terms may not be assigned by you without Fan Flash’s prior written consent. If any provision of these Terms will be unlawful, void, or for any reason unenforceable, then that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions. The Section titles are inserted only as a matter of convenience and have no legal or contractual effect. You agree that these Terms will not be construed against FanFlash by virtue of having drafted them.
Modifications
FanFlash reserves the right to change, modify, amend and/or update these Terms at any time with or without prior notice.
The Effective Date of these Terms of Use is August 15, 2009.
